Terms of Use

Please read these terms carefully before using our website or engaging our services.

1. Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("you" or "Client") and TechBridge Innovation ("TechBridge," "we," "us," or "our"), a software development and technology consultancy with operations across Africa, Europe, and North America. By accessing our website at techbridgeinnovation.co or engaging our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our website or services.

2. Description of Services

TechBridge provides professional technology services including, but not limited to:

  • Full-stack web and mobile application development
  • Generative AI and artificial intelligence solutions
  • UI/UX and product design
  • Database architecture and management
  • Product and project management
  • Quality assurance and testing
  • Technology consultancy and advisory services

The specific scope, deliverables, timelines, and fees for any engagement are defined in separate service agreements or statements of work entered into between you and TechBridge. These Terms govern the general use of our website and form a baseline for all client interactions.

3. Client Responsibilities

When engaging our services or using our website, you agree to:

  • Provide accurate, complete, and current information when submitting inquiries, contact forms, or project specifications.
  • Ensure you have the legal authority to enter into agreements and share information with us on behalf of your organisation, where applicable.
  • Cooperate in good faith and provide timely feedback, access, and resources necessary for the successful delivery of services.
  • Use our website and services only for lawful purposes and in compliance with all applicable laws and regulations.
  • Refrain from attempting to gain unauthorised access to our systems, networks, or data.

4. Data Protection and Confidentiality

At TechBridge, safeguarding your data is not just a policy — it is a fundamental principle of how we operate. We understand that when you entrust us with your business information, project details, and personal data, you expect the highest standards of protection.

4.1 Our Commitment to Your Data

  • Your data belongs to you. All client data, business information, and proprietary materials shared with us remain your property at all times. We claim no ownership rights over your data.
  • We treat all client information as confidential. Project details, business strategies, technical specifications, and any proprietary information shared during the course of our engagement are held in strict confidence.
  • We collect only what is necessary. We practise data minimisation — gathering only the information required to deliver our services effectively. We never collect data beyond what is needed.
  • We never sell your data. Under no circumstances do we sell, lease, or trade your personal or business information to third parties.

4.2 Security Measures

We employ industry-leading security practices to protect your data throughout every stage of our engagement:

  • End-to-end encryption for all data in transit and at rest.
  • Strict role-based access controls ensuring only authorised personnel can access your information.
  • Secure development environments with isolated client workspaces.
  • Regular security audits and vulnerability assessments across our infrastructure.
  • Secure code repositories with access logging and multi-factor authentication.

4.3 Confidentiality Obligations

All TechBridge team members are bound by confidentiality agreements. We extend this obligation to any subcontractors or third-party providers who may assist in the delivery of our services. Confidential information will not be disclosed to any third party without your prior written consent, except where required by law.

4.4 Data Handling Upon Project Completion

Upon completion or termination of a project, we will return or securely destroy all client data and proprietary materials in our possession within a reasonable period, unless retention is required by law or mutually agreed upon in writing. You may request a certificate of data destruction for your records.

For full details on how we handle personal data collected through our website, please refer to our Privacy Policy.

5. Intellectual Property

5.1 Client Deliverables

Unless otherwise specified in a separate service agreement, all custom software, designs, and deliverables created specifically for you during an engagement are assigned to you upon full payment. You receive full ownership and rights to use, modify, and distribute the deliverables as you see fit.

5.2 TechBridge Property

All content on the TechBridge website — including text, graphics, logos, images, and software — is the property of TechBridge Innovation and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any content on our website without our prior written consent.

5.3 Pre-Existing Tools and Frameworks

TechBridge may use pre-existing tools, libraries, frameworks, or proprietary methodologies in the delivery of services. Ownership of these pre-existing materials remains with TechBridge or their respective licensors. Where such materials are incorporated into client deliverables, you are granted a perpetual, non-exclusive licence to use them as part of the delivered product.

6. Acceptable Use of Our Website

You agree not to use our website to:

  • Violate any applicable local, national, or international law or regulation.
  • Transmit any material that is defamatory, offensive, threatening, or otherwise objectionable.
  • Attempt to interfere with, compromise, or disrupt the website's infrastructure, security, or performance.
  • Use automated systems (bots, scrapers, or crawlers) to access or collect data from our website without prior written permission.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

We reserve the right to restrict or terminate access to our website for any user who violates these terms.

7. Warranties and Disclaimers

Our website and its content are provided on an "as is" and "as available" basis. While we strive to ensure the information on our website is accurate and up-to-date, we make no warranties or representations, express or implied, regarding:

  • The completeness, accuracy, or reliability of any content on the website.
  • The uninterrupted or error-free operation of the website.

Our total aggregate liability for any claims arising from the use of our website shall not exceed the amount you have paid to TechBridge, if any, for services during the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless TechBridge Innovation and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your violation of these Terms or your misuse of our website or services.

10. Third-Party Links and Services

Our website may contain links to third-party websites, services, or resources. These links are provided for your convenience only. TechBridge does not endorse, control, or assume responsibility for the content, privacy policies, or practices of any third-party websites. Accessing third-party links is at your own risk.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to conflict of law principles. Any disputes arising from or related to these Terms shall be resolved through good-faith negotiation between the parties. If a dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in Nairobi, Kenya, in accordance with applicable arbitration rules.

12. Termination

We reserve the right to suspend or terminate your access to our website at any time, without prior notice, for conduct that we determine to be in violation of these Terms or harmful to other users, us, or third parties. Upon termination, the provisions of these Terms that by their nature should survive (including, without limitation, intellectual property, disclaimers, indemnification, and limitations of liability) shall continue in effect.

13. Modifications to These Terms

TechBridge reserves the right to update or modify these Terms at any time. Changes will be effective immediately upon posting to this page with an updated "Last updated" date. Your continued use of our website following any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms shall remain in full force and effect.
